This Non-Compete Agreement ("Agreement") is entered into on this ____ day of __________, 20__, by and between _____________________ ("Employee") and _____________________ ("Employer"), collectively referred to as the "Parties." The Agreement is made considering the employment of the Employee by the Employer, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged. This Agreement shall be governed by and construed in accordance with the laws of the State of Wisconsin, without regard to its conflict of law provisions.

WHEREAS, the Employer is engaged in the business of _____________________, and is located at _____________________, Wisconsin;

WHEREAS, the Employee agrees to be employed by the Employer, and in consideration thereof, the Employee agrees to the restrictions as outlined in this Agreement;

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, and for other good and valuable consideration, the Parties agree to the following:

1. Non-Compete Covenant: The Employee agrees that during the term of employment and for a period of ______ year(s) after the termination of employment, whether such termination is voluntary or involuntary, the Employee will not, within the State of Wisconsin or any other geographic area the Employer conducts business, directly or indirectly, engage in any business that competes with the business of the Employer.
2. Non-Solicitation: During the term of this Agreement and for ______ year(s) thereafter, the Employee shall not solicit or attempt to solicit any clients or customers of the Employer for the benefit of a competing business, nor shall the Employee solicit or attempt to solicit any employee of the Employer to terminate their employment for the purpose of joining a competing business.
3. Confidentiality: The Employee acknowledges that during the employment period, the Employee will have access to and become acquainted with various confidential information, including trade secrets, proprietary information, and customer lists belonging to the Employer. The Employee agrees to maintain the confidentiality of all such information and not to disclose it to any third party without the express written consent of the Employer, both during and after the term of employment.
4. Return of Property: Upon the termination of employment, for any reason, the Employee agrees to return promptly to the Employer all documents, electronic data, and other property belonging to the Employer, without retaining any copies or notes.
5. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Wisconsin.
6. Severability: If any provision of this Agreement is found by a court of competent jurisdiction to be unenforceable, the remaining provisions will remain in full force and effect.
7. Entire Agreement: This Agreement, including any exhibits attached hereto, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior agreements, whether written or oral.
